1. Purpose of the Platform

StartUp helps people showcase their skills and discover job or collaboration opportunities using a simple swipe-based interface, AI-assisted skill matching, and optional dictation coaching. Users may receive direct messages from employers or collaborators consistent with Platform rules.

We facilitate introductions and tooling — we are not your employer or recruiter unless we explicitly say otherwise in a separate signed agreement. We do not guarantee interviews, offers, compensation, or any particular outcome.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding agreements. By using the Platform, you confirm you meet these requirements.

3. User Accounts and Subscriptions

Users may be required to create an account to access certain features. Communication between users may require payment, subscription, or unlock fees. You are responsible for all activity conducted through your account.

3.1 Payments and Refund Policy

• All payments are final unless otherwise required by applicable law.
• Refund requests must be submitted within 72 hours of the initial purchase.
• No refunds will be issued after the 72-hour window.
• We do not guarantee successful connections, responses, or outcomes from paid interactions.

4. Your content & IP

4.1 What you retain

You retain ownership of your skills summaries, demos, portfolios, recordings, text, images, and other materials you submit, subject to the licence below.

4.2 Licence to M3XI

To operate matching, messaging, moderation, backups, coaching, safety, and product improvement within the Platform, you grant M3XI a worldwide, non-exclusive, royalty-free licence to host, process (including automated and AI-assisted processing), display, transmit, and create incidental copies of your content. You confirm you have the rights to grant this licence.

4.3 Third-party rights

Do not upload content that infringes others’ IP, privacy, or publicity rights; do not misrepresent qualifications. We may remove infringing or unlawful content.

4.4 No guarantee of secrecy

Use professional judgement before sharing commercially sensitive demos. We do not promise that information you publish will remain legally secret—use confidentiality agreements where appropriate.

5. Prohibited Conduct

Users must not:

• Post fraudulent, misleading, or deceptive content.
• Impersonate individuals or entities.
• Solicit funds under false pretenses.
• Use the Platform for illegal activities.

6. No Liability for Hiring or Collaboration Outcomes

We do not fully verify every credential, demo, employer account, role listing, message, or offer. Employment and collaboration arise between users—we are not a party unless we say otherwise. Use care with personal data and scams; report abuse through in-app flows.

7. AI skill matching & dictation coach disclaimer

Suggestions about role fit or coaching wording are informational and approximate. They are not legal, visa, payroll, immigration, licensing, HR, or professional advice—always confirm material decisions independently. Accuracy may vary across languages or accents.

8. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, consequential, or special damages.
• We are not liable for loss of profits, opportunities, data, or reputation.
• Our total liability shall not exceed the amount paid by you to the Platform in the preceding 12 months.

9. Account Suspension and Termination

We reserve the right to suspend or terminate accounts without notice for violations of these Terms or applicable laws. We may also remove content that violates these Terms.

10. Indemnification

You agree to indemnify and hold harmless M3XI, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or disputes between you and other users.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be notified via the app or email.
