1. Purpose of the Platform

StartUp connects individuals with ideas ("Idealists") and individuals or entities seeking to invest in or collaborate with them ("Investors"). M3XI provides intelligent business analysis tools in support of this mission.

We are a neutral facilitator — not a party to any agreement, transaction, or relationship formed through the Platform. We do not provide legal, financial, or investment advice.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding agreements. By using the Platform, you confirm you meet these requirements.

3. User Accounts and Subscriptions

Users may be required to create an account to access certain features. Communication between users may require payment, subscription, or unlock fees. You are responsible for all activity conducted through your account.

3.1 Payments and Refund Policy

• All payments are final unless otherwise required by applicable law.
• Refund requests must be submitted within 72 hours of the initial purchase.
• No refunds will be issued after the 72-hour window.
• We do not guarantee successful connections, responses, or outcomes from paid interactions.

4. Intellectual Property and Idea Protection

4.1 Ownership of Ideas

Users retain ownership of any ideas, concepts, business plans, designs, or materials they upload or share on the Platform. Sharing content does not transfer ownership rights.

4.2 Prohibited Use of Ideas

By using the Platform, you expressly agree that you will not:

• Steal, copy, replicate, or misappropriate another user's idea.
• Use another user's idea to create or build a competing product without explicit written permission.
• Claim authorship or ownership of ideas that are not your own.
• Share another user's idea outside the Platform without consent.

Violations may result in account termination, reporting to authorities, and civil liability.

4.3 No Guarantee of Idea Protection

While these Terms create contractual obligations between users, we do not guarantee legal protection of ideas. Users are encouraged to pursue independent legal protections (e.g., NDAs, patents, copyrights).

5. Prohibited Conduct

Users must not:

• Post fraudulent, misleading, or deceptive content.
• Impersonate individuals or entities.
• Solicit funds under false pretenses.
• Use the Platform for illegal activities.

6. No Liability for User Actions

We do not verify the legitimacy, identity, or claims of users. Any interaction or transaction is undertaken at your own risk. We are not liable for losses, damages, or disputes arising from user conduct.

7. Business Analysis Disclaimer

Business valuations and summaries provided by M3XI's analysis system are estimates for informational purposes only. They do not constitute financial advice, investment recommendations, or legally binding assessments. Always seek independent professional advice before making financial decisions.

8. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, consequential, or special damages.
• We are not liable for loss of profits, ideas, data, or reputation.
• Our total liability shall not exceed the amount paid by you to the Platform in the preceding 12 months.

9. Account Suspension and Termination

We reserve the right to suspend or terminate accounts without notice for violations of these Terms or applicable laws. We may also remove content that violates these Terms.

10. Indemnification

You agree to indemnify and hold harmless M3XI, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or disputes between you and other users.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be notified via the app or email.
